Terms of Service

1. Acceptance of Terms

By accessing or using the Qorvion AI platform, software, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you ("Client" or "you") and Qorvion AI, Inc. ("Qorvion AI", "we", "us", or "our").

If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Services.

2. Description of Services

Qorvion AI provides AI-driven cybersecurity services including, but not limited to:

• Real-time AI threat detection and monitoring
• Log and security event analysis
• Anti-phishing and email security protection
• Behavioral anomaly detection
• Automated security audit reports
• Incident response automation and alerting

The specific features and capabilities available to you depend on your selected subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, subject to the notice provisions set forth herein.

3. Account Registration and Responsibilities

3.1 Account Creation

To access the Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Authorized Users

You may grant access to the Services to your employees or authorized contractors ("Authorized Users"). You are responsible for ensuring that all Authorized Users comply with these Terms and for any actions taken by Authorized Users through your account.

3.3 Security Obligations

You must immediately notify Qorvion AI of any unauthorized access to your account or any other security breach. You agree to implement reasonable security measures to prevent unauthorized access to your account, including the use of strong passwords and multi-factor authentication where available.

4. Subscription Plans and Payment

4.1 Subscription Fees

Access to the Services requires payment of subscription fees as set forth in your order form or as displayed on our pricing page. All fees are denominated in US dollars unless otherwise specified. Fees are non-refundable except as expressly set forth in these Terms.

4.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle. Payment is due upon invoice and must be received within thirty (30) days of the invoice date. Failure to pay may result in suspension or termination of your access to the Services.

4.3 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least thirty (30) days' prior written notice of any price increases. Continued use of the Services after the effective date of the price change constitutes your acceptance of the new pricing.

4.4 Taxes

You are responsible for all applicable taxes, duties, and government levies associated with your use of the Services, excluding taxes based on Qorvion AI's net income.

5. Data and Privacy

5.1 Client Data

You retain all rights, title, and interest in and to the data, logs, and information you submit to the Services ("Client Data"). By using the Services, you grant Qorvion AI a limited, non-exclusive license to process Client Data solely for the purpose of providing the Services to you.

5.2 Data Processing

Qorvion AI processes Client Data in accordance with our Privacy Policy and any applicable Data Processing Agreement (DPA) entered into between the parties. We implement industry-standard technical and organizational measures to protect Client Data against unauthorized access, disclosure, or destruction.

5.3 Aggregated Data

Qorvion AI may use anonymized, aggregated data derived from the use of the Services to improve our AI models, develop new features, and produce industry research. Such aggregated data will not identify you or your organization.

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Transmit malicious code, viruses, or other harmful content
• Attempt to gain unauthorized access to any system or network
• Interfere with or disrupt the integrity or performance of the Services
• Conduct offensive security testing against systems you do not own or have explicit written permission to test
• Resell, sublicense, or distribute the Services without our prior written consent

We reserve the right to suspend or terminate your access to the Services immediately upon violation of this Acceptable Use Policy.

7. Intellectual Property

The Services, including all software, algorithms, AI models, documentation, and related materials, are the exclusive property of Qorvion AI and its licensors. These Terms do not grant you any ownership rights in the Services. All rights not expressly granted are reserved by Qorvion AI.

You may not copy, modify, reverse engineer, decompile, or create derivative works based on the Services, except as expressly permitted by applicable law.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Qorvion AI and its affiliates, officers, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunity, arising out of or in connection with your use of the Services.

In no event shall Qorvion AI's total aggregate liability exceed the fees paid by you to Qorvion AI in the twelve (12) months preceding the claim giving rise to the liability.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, Qorvion AI's liability shall be limited to the greatest extent permitted by law.

9. Termination

Either party may terminate these Terms upon thirty (30) days' written notice. Qorvion AI may terminate your access immediately if you materially breach these Terms and fail to cure such breach within ten (10) days of written notice.

Upon termination, your right to access the Services ceases immediately. We will retain your Client Data for thirty (30) days following termination, after which it will be permanently deleted unless otherwise required by law.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be subject to good-faith negotiation between the parties. If not resolved within thirty (30) days, disputes shall be submitted to binding arbitration in San Francisco, California, under the rules of the American Arbitration Association.

11. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by email or by posting a prominent notice on our website at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
